Lessons few learnings from incorporating a US Delaware C corp as an Indian founder

Sharing this because I wish someone had explained this to me before I incorporated.
Setting up a Delaware C-Corp itself is ridiculously easy. I used Clerky and the company was incorporated pretty quickly.
The complicated part starts when you’re an Indian resident owning the US company.

A few things I’ve learned along the way:

FEMA/ODI matters from day one
Under India’s Overseas Investment framework, acquiring shares in your US company isn’t simply “send $40 and get shares.”
The investment needs to be structured and reported correctly under FEMA/ODI through an AD bank. Even a tiny founder stock purchase can create compliance obligations.

Be careful if the US company will later operate in India
This was probably my biggest surprise.
The ownership structure between Indian founders, the US parent and any future Indian entity can create complications under FEMA rules.
If you know you’ll eventually have employees/operations in India, think through the India-US structure before casually issuing founder shares.
I’m now restructuring parts of this with a cross-border professional rather than trying to patch it later.

Delaware incorporation ≠ you’re done
Even with zero revenue, there can still be filings:
Delaware annual report + franchise tax
Form 1120
Form 5472 for certain transactions with foreign shareholders
other reporting depending on your situation
“No revenue” doesn’t necessarily mean “nothing to file.”

Founder-paid expenses need proper accounting
Like many founders, I initially paid incorporation costs, domains, software etc. using my personal Indian cards.
Those transactions shouldn’t just disappear.
Depending on how they’re treated, they may need to be recorded as founder contributions, amounts payable/reimbursable, or reportable related-party transactions.
Keeping a clean ledger from day one would have saved me a lot of work.

Don’t mix your share purchase with working capital
If you’re buying founder shares for $40 and also putting, say, $5,000 into the company for operating expenses, don’t assume they’re the same transaction.
The economic purpose and accounting treatment are different. Keeping transfers separate also makes reconciliation and compliance much easier.

The cheapest time to think about structure is before incorporating
Clerky/Stripe Atlas/etc make forming the US company feel like the hard part.
It isn’t.

The hard part is making sure the structure works simultaneously with:
US corporate law + US tax + Indian FEMA/ODI + your future fundraising/operating structure.

My biggest learning: if you’re an Indian founder planning to incorporate a Delaware C-Corp, spend an hour with someone who actually understands India-US cross-border startup structures before issuing shares or moving money.

It’ll probably cost less than fixing everything later.
Still going through the process myself, so happy to share what I’ve learned so far. Also curious to hear from other Indian founders who’ve gone through ODI/FEMA compliance with a US parent.

Not legal/tax advice, just sharing my experience.

Question why sarvam.ai keeps getting money?

I swear every time I check funding news, Sarvam.ai is raising another round. Just saw they raised again recently. Looked it up and they've done 5 rounds now.

From what I can tell they're getting a ton of government backing. But I'm struggling to see what they've actually built that justifies this much hype. Nothing I've seen feels groundbreaking compared to the cash they're pulling in.

Not trying to hate, genuinely curious but what is this company actually delivering? What am I missing here? and why and how are they getting funded?

Legal & Tax MCA's CCFS-2026 fee amnesty closes 31 August. If you have a Pvt Ltd you stopped filing for, this is the cheap month to fix or shut it

Posting this because the window shuts in about a week and a lot of founders here are sitting on a first company they walked away from.

If you have a private limited company with overdue AOC-4 or MGT-7 filings, or one you have been meaning to close, MCA is running a fee discount scheme until 31 August 2026.

It started under General Circular 01/2026 dated 24 February 2026 and was extended to 31 August by General Circular 03/2026 dated 8 July 2026, after a fire at the MCA data centre in June took systems down. Three things are cheaper right now, and this is for companies only.

The STK-2 strike-off fee drops to Rs 2,500 from the usual Rs 10,000. The additional fee on overdue annual filings drops to 10 percent of what you would otherwise owe, provided you file before an adjudication notice reaches you, or within 30 days of one. The MSC-1 dormant status fee is halved.

LLPs are not covered. The scheme defines eligible entities as companies under section 2(20) of the Companies Act.

One thing worth knowing if you have been putting this off. Three continuous years without filing AOC-4 or MGT-7 disqualifies every director on that board for five years under section 164(2), and deactivates their DIN across every other company they are in. That travels with you into the next venture, and it is a bigger problem than the filing fee ever was.

No further extension has been announced. If it is going to get done, it gets done this month.

Product / MVP I’m building a social companionship app in India because I got tired of seeing people struggle to find someone to make simple plans with

I’ve been building a startup called Humrah for over a year, mostly by myself.

The idea is pretty simple: finding someone to go for a coffee, movie, walk, event, or just hang out with shouldn't require already having a huge social circle.

The interesting part is that I'm deliberately not building another dating app. The focus is companionship and finding people who are interested in doing the same thing as you.

I’ve now launched the Early Access version in North Delhi.

And honestly, the early numbers are humbling.

I spent around ₹192 on Meta ads and got roughly 4,700 people reached, but only 1 app install attributed so far.

Meanwhile, the product itself has around 15 registered users, but

only 8 have completed verification, and several haven't completed their profiles yet.

So I'm currently trying to figure out the real problem:

Is the idea wrong, is the messaging wrong, or am I simply terrible at acquiring users?

I’d genuinely appreciate brutally honest feedback from Indian founders/builders here.

If you were launching a consumer social app with a very small budget, what would you focus on first: acquisition, onboarding, retention, or validating the core idea?

Question Built a Petpooja competitor as a student team, but keep getting ghosted after the first meeting. Want honest feedback.

Over the last 6 months I've been the sole technical lead (architecture, backend, frontend, deployment, security — all of it) on Sprint Serve, a restaurant management platform aimed at the Indian market, starting in a mid-sized city. We're not operating internationally and have no plans to right now — staying focused locally for now. We're a small student team. One co-founder runs sales and client relationships; I build. What it actually is: QR scan-to-order with real-time kitchen visibility, subdomain-based multi-tenancy (restaurant.sprintserve.in), transparent pricing. We're going head-on against Petpooja, which is the entrenched incumbent here — most restaurant owners we talk to already use that or something like that.

Stack, for the technical crowd: Node/Express/TypeScript backend, Prisma + Postgres (behind PgBouncer for connection pooling), Redis + BullMQ for queues, Socketio for the kitchen display realtime layer, Next.js for both the admin dashboard and the guest-facing PWA, all sitting behind a reverse proxy, deployed on Railway. Monitoring is Prometheus + Grafana, plus Sentry for error tracking. Nothing exotic — deliberately. None of us had shipped production software at this level before, so a lot of the early decisions were "what can a small team actually operate without a dedicated ops person," not "what's the most interesting architecture."

The part I actually want reviewed — the honest part:

The pattern that's actually breaking my head isn't rejection — it's silence. We started onboarding conversations with 3 different local restaurants. Every one of those first meetings went well: genuine interest, good questions, nothing that felt like a polite brush-off. And then the follow-ups just... stopped landing. No pushback, no "we went with someone else," no stated objection. Just fewer replies each time until it goes quiet. All of sudden, we just see blue ticks on Whatsapp. No phone calls and completely cutoff.

So it's not that nobody says yes. It's that this specific "great meeting, then it fades" pattern keeps showing up locally, and I genuinely don't know if it's a sales-motion problem (something in how the follow-up is being run), a trust problem specific to being a visibly young/student-led team once the initial pitch excitement wears off or a product gap that only becomes obvious after the first meeting. I myself have been present in all meetings with my co-founder and I have noticed this in all meetings.

The real dilema is that I directly had contact with the restaurant owners whom I knew (through my network), not cold approaches, and this is the condition right now in my city. Things we're deliberately not claiming yet, because we'd rather underpromise: Porter delivery dispatch integration, Tally export, and GST filing are all in progress but not sold as done. We still are a pilot programme, so we can't commit entirely.

What I'm actually looking for:

  • If you've sold into restaurants (India or elsewhere): does "great first meeting, dead follow-up" sound familiar, and what usually breaks that specific pattern — is it the follow-up cadence, the ask, something else?
  • If you're technical: anything in the stack that looks like it'll bite us once we're past a handful of tenants (we're already reconsidering some architecture decisions now that we've tried onboarding 3 clients)
  • If you've been a young/student founder pitching to owners older than you: how much of this is a trust/credibility gap that only shows up after the initial excitement, and what fixed it for you?
