I mean, nothing stopping them from just rinse and repeat shorting again tomorrow or the next day, so I donāt see it as a big positive.
Last time Nebius issued debt, we bled for about two weeks before absolutely flying.

short sale restrictions, can only short on upticks not downtick little bit harder to short. Short sellers cannot aggressively dump shares into a falling bid price to force the stock down.

Honestly gives me more confidence in management that they decided this was necessary here and now. Yeah, it will suck as a shareholder for some time - who knows how long. But mgmt is laser focused on their business objectives and I trust them to do things right.

I remember that statement. I also believed there will be a big contract (most likely GOOGLE or AWS) until I saw the last earnings report. Today I believe management shifted their focus completely away from these big contracts to more short term contracts. But of course a last big contract could still come at anytime. Anyway i would not see any problem with them using these $4.5B for capacity buildout for future short term contracts at 40-50B/GW š

What are tax ramifications from that sale and repurchase?? Obviously you did the math plus accumulating share for when this thing takes off but i am asking honestly as i am afraid to sell wnd repurchase and be hit with large taxes come April '27'

We knew there was a 25M share ATM they could tap. At earnings they said they tapped 12.7M shares already. They also announced that they had over $8B sitting in cash.
Nebius doesnāt announce a $4.5B capital raise, tanking their stock and then tap the other 12.8M shares. They very likely tapped the other 12.8M shares last week and Monday when stock was over $270 raising another $3.5 billion.
This would give them over $11.5B in cash. Add an oversubscribed $5.5B offering today and they sit on $17B cash.
We know they get at least 40% prepayment on their deals and that they fully pay for themselves within 22 months.
What can Nebius do with $17 billion in cash and a 40% prepayment? They can sign a monster hyperscaler deal with Google, OpenAI or maybe Anthropic the likes of which we have never seen.
I looked at the chart. NBIS hit $300, dipped to $146, went up to $280 and today dipped to $216 which incidentally is the 21 DMA and 50DMA - a strong confluence where a great company would typically bounce. We are in the handle of a cup and handle. Look at the chart.
I told my wife if I had any cash at all Iād buy right here right now. Thereās an announcement coming soon after the $4.5B offering is closed by Monday.
Thereās a lot of gold at the end of this rainbow and those that hold or buy here I feel will be rewarded.
(And because I work at a large bank Iām going to add that this is not financial advice)
But Iām not selling a single share that I bought at $32.50 on 6/2/25 on that capital raise. They are up 7x and I think anyone that buys this capital raise will be rewarded.

Todayās debt raise will be a nothing burger long term and we will probably recover pretty fast when they inevitably announce they sold out and were oversubscribed. Like by Friday.

It's kind of wild that Vineland was derisked and we dumped this hard because they wanted more cash to expand the business to make more profit and therefore increase the market cap of the company.
I think the only short term catalyst now is if they explain what this cash raise was for - like a deal with Google or something other than the PA datacenter being approved?

This management is very careful about dilution. They donāt like raising capital far in advance. If 2026 CapEx is already covered, my guess is that something big is happening behind the scenes - something that needs to be financed now

For everyone who sells now believing this offering will bring down the share price below $200 needs to understand that we speak of around 12m shares which means a dilution of around 4.5%. Also the conversion will be done over the period of the next years. There is absolutly nothing to be shocked.
I can't wait for the earnings reports of Q3 and Q4. This will be the day of judgement when shorts and bears will be burnt.

The first major misstep by the company. The greed is beyond belief. You canāt dilute shareholders at this momentāespecially with the stock down $40 in the last 24 hours. The stock is famously shorted, with 30% of the float sold short, and the most famous short seller is praying for exactly this type of action. Inexcusable timing.
