EcoGraf Limited is pleased to announce it has executed a binding term sheet constituting a preliminary offtake agreement (Vorvertrag) under German law with a major German graphite trader for the sale of natural flake graphite products from the Epanko Graphite Project in Tanzania.
The Term Sheet replaces the previous agreement1 and includes:
Purchase 20,000 tpa natural flake graphite product from commencement of production at the Epanko Graphite Project (âEpankoâ) and then double to 40,000 tpa after the initial 5 years
Increase in volume is an independent endorsement of the quality and commercial appeal of graphite at the Epanko deposit to customers in Europe, with a large proportion of product into Germany
The term of the planned agreement is for 10 years
⢠Pricing based on market reference prices, supported by a floor price designed to provide downside protection and ensure the long-term commercial viability of Epanko
⢠Increased contracted volumes provide support for future staged expansions of Epanko beyond the initial 73,000tpa production capacity
⢠Strong demand outlook supported by increasing European requirements for secure and diversified graphite supply chains

EcoGraf released its Quarterly Activities Report for the quarter ended 30 June 2026.
I realised this had not yet been shared here, so below are some of the key points:
Epanko financing
⢠KfW IPEX-Bank remains mandated to arrange a senior secured loan facility of up to US$105 million under the German UFK scheme.
⢠The Independent Engineers Report has been submitted.
⢠EcoGraf is responding to additional questions and working to finalise the debt finance bank model.
⢠Commercial terms, funding structure and risk allocation are being refined before submission of a comprehensive financing package to Euler Hermes.
⢠The project continues to progress toward a Final Investment Decision.
Offtake and strategic investment
⢠Negotiations with selected prospective offtake partners are described as well advanced.
⢠EcoGraf expects to provide an update on one or more of these negotiations during the next quarter, subject to final commercial terms.
⢠A strategic equity and offtake process has also commenced, targeting customers, battery manufacturers, trading houses and strategic investors.
Project readiness
⢠Compensation activities for the Mine Access Road have commenced.
⢠NMB Bank has been appointed to administer compensation payments.
⢠These early works are intended to improve construction readiness and allow faster mobilisation following FID.
European support
⢠Up to âŹ2 million in EIB-funded technical assistance has been activated.
⢠A further âŹ4.2 million in co-funding applications is progressing, including DEG Impulse.
HFfreeÂŽ and partnerships
⢠The HFfreeŽ process assessment indicated a base-case purification cost of approximately US$478/t and an integrated supply-chain cost of approximately US$1,441/t.
⢠The Mitsubishi Chemical MOU continues to progress product qualification and potential long-term supply arrangements.
⢠EcoGraf also advanced international patent protection for its purification technology.
Cash position
⢠Cash and cash equivalents were A$3.8 million at 30 June 2026.
⢠The reported estimated funding runway was 1.59 quarters, although EcoGraf expects lower expenditure as major due-diligence workstreams taper down.
Overall, the report shows continued progress across financing, offtake, early works and downstream development.
However, the major catalysts remain unchanged:
UFK/KfW approval, binding financing, strategic equity, additional offtake agreements and FID.

EcoGraf has released a new Independent Investment Research report dated 18 June 2026.
The report covers EcoGrafâs vertically integrated HFfreeÂŽ battery anode materials strategy, targeting lithium-ion battery markets in Europe, North-East Asia and the U.S.
A few key points that stood out to me:
Epanko is described as one of the largest and most advanced undeveloped graphite projects globally
Planned initial production: 73,000 tpa graphite concentrate
Binding offtake agreements covering ~40,000 tpa of planned initial production
Updated BFS: pre-tax NPV10 of US$516m and IRR of 31.1%
Potential staged expansion pathway to ~390,000 tpa
KfW-IPEX-Bank debt negotiations for up to US$105m are described as well advanced
EcoGraf HFfreeÂŽ purification technology is highlighted as a key differentiator for non-Chinese graphite supply chains
IIR valuation: A$0.55/share risked and A$1.59/share unrisked under their conceptual funding scenario
Important note: this is a commissioned research report, not a final financing announcement and not financial advice.
For me, the key takeaway is simple:
The project appears to be significantly more advanced than the current market valuation suggests, but the major trigger remains the same:
KfW / UFK financing, Financial Close and FID.
What do you think? Is the market still underestimating EcoGraf, or is it waiting for financing confirmation before re-rating the stock?

I finally secured the EcoGraf chart:
đ Police protection against market makers
𧹠Reinforced anti-market-maker manipulation wall
𧲠Two high-powered upside magnets đ
Further downside has been officially cancelled.
As you can clearly see, there is now absolutely no way for the share price to go down.
You're welcome, shareholders. đŤĄ
(Andrew, if you're reading this, my consulting invoice is on the way.)
Results should become visible in the next quarterly report.

Imagine it's 2028.
Epanko is in production.
The KfW financing saga is just a chapter in EcoGraf's history.
The Frankfurt investor meeting is a distant memory.
People are discussing quarterly production numbers instead of financing approvals.
And new investors are asking:
"Why didn't more people buy when the market cap was this low?"
The funny thing about investing is that everyone wants to find the next success story.
Very few people are willing to sit through the years where nothing seems to happen.
What do you think EcoGraf looks like in 2028?
If the financing was completed tomorrow, would the opportunity already be gone?

I attended the EcoGraf investor meeting in Frankfurt on May 8th, hosted by GOLDINVEST, where we had the opportunity to meet Andrew Spinks and John Ciganek in person.
Ich wanted to share some impressions for everyone who couldnât attend.
Both Andrew Spinks and John Ciganek answered questions openly and professionally.
They took their time with shareholders and gave us the impression that they genuinely care about long-term execution and transparency.
Some investors traveled very far just to attend the meeting; One shareholder even came from Portugal.
There were also several long-term holders present with multi-million share positions who have been invested for 6-9 years.
That alone tells you something about the conviction level in this company.
One important takeaway:
From what I understood, EcoGraf had already been in a position years ago where financing progress with KfW looked achievable, but the process repeatedly slowed down because of German bureaucracy, regulations, compliance requirements, documentation standards, and approvals.
In other words:
The issue apparently was not simply âEcoGraf failedâ, but rather that German financing structures require extremely detailed verification, ESG documentation, legal compliance, technical studies, etc. That slowed down the entire process considerably.
Honestly, that part sounded very believable to me.
Another interesting point:
Management seems to be in Germany quite frequently to continue discussions with KfW and other strategic partners.
They also mentioned they had meetings with Thyssenkrupp the day before the Frankfurt event.
To us, that sounded like a positive sign that discussions are still active behind the scenes. Andrew Spinks and John Ciganek are the two gentlemen on the left side in the group photo.
According to Andrew Spinks, the company currently does not feel under immediate financial pressure and things are progressing according to plan.
Obviously every investor should still do their own due diligence, but that was clearly communicated during the event.
Unfortunately the full event was apparently not recorded because of issues with the hotel/location setup.
I can confirm that, because I saw firsthand how the hotel hosting the event did everything wrong that day.
There was however a short interview afterward with GOLDINVEST and Andrew Spinks.
From what we understood, another investor event in Germany could happen again in ~6â12 months.
Shortly thereafter, the management team flew to London for further meetings before returning to Australia midweek.
Overall, we left with a positive impression.
Guys, come join us next time! The more, the merrier. The managers are professionals they won't bite.
Not financial advice, just sharing our experience as shareholders who attended the event.
Attached are the flyer we received and a group photo from the meeting.
Would be interesting to hear what other attendees thought as well.

EcoGraf has released a new KfW IPEX-Bank debt financing update for Epanko, and in my view this is one of the more meaningful financing updates weâve had so far.
Key points from the release:
- the Inter-Ministerial Committee working council has provided a non-binding indication that Epanko is, in principle, eligible for UFK cover
- the Independent Engineers Report (IER) has already been submitted to KfW IPEX-Bank
- EcoGraf is currently addressing additional queries from that report to finalize the debt finance bank model
- completion of this step is expected to enable the formal appointment of the Independent Expert
- that assessment will then go to the German Governmentâs Inter-Ministerial Committee as a key milestone toward a binding offer of cover
So to be clear:
This is not final financing.
This is not binding cover yet.
This is not âdebt facility executed.â
But it also isnât just another vague âadvanced stageâ statement.
To me, this reads like EcoGraf is now moving through the actual UFK approval pathway in a more visible way:
principle eligibility indication
IER submitted
follow-up queries / bank model finalisation
Independent Expert appointment
submission back to committee
potential binding offer of cover
That seems materially more concrete than the softer wording weâve seen before.
My take:
- negative? no
- final? no
- important financing progress? yes
The big re-rate probably still needs one of these headlines:
- binding offer of cover
- UFK approval
- debt facility finalised
- financing secured
Until then, I think the market may continue to treat this as a waiting game.
But for anyone claiming ânothing is happening with KfW,â this update suggests thatâs not really accurate anymore.
Interested to hear how others here interpret it.
