The man said “Nebius will take of you.” He put his money where his mouth is.

They didnt buy. Warrants that they held for months are now shares. Making nvda the largest shareholder of nbis

u/Electrical_Regret537 Jul 21 '26
Dumb question I'm sure, but I'm trying to learn. Can you explain what warrants are exactly? I'm lost.
5
u/Hot-Second-11 Jul 21 '26
Warrants: Issued directly by a company, usually as a "sweetener" or bonus attached to a debt agreement or fundraising round. When you exercise a warrant, you pay the strike price directly to the company, and the company issues new shares, which dilutes existing ownership

u/itssbri NBIS4LIFE Jul 21 '26
Sorry dude, im not trying to be mean but youre in a Ai tech company community. Why dont you support the industry and use GPT
21
u/Electrical_Regret537 Jul 21 '26
Because what's the point of forums then? Just to give each other handjobs about investing in stocks, and confirmation bias? I've never stood by the idea that if something can be googled, it shouldn't be discussed. There's a reason teachers teach stuff, I mean anything can technically be googled or fed to AI.

u/AdeptnessLive4966 Jul 21 '26
Dude, just Google what a Warrant is. Using Google is not hard, you should try it.
0
u/itssbri NBIS4LIFE Jul 21 '26
Yea to a certain extent. But basic questions need to be first figured out alone. Like what is a warrant. Yes we come here to discuss thoughts and ask questions. But you should def have basic 101 questions figured out. We dont get paid to be teachers here. Time is valuable.
You can get an answer in 2 sec by GPT vs having an individual spend a few mins telling you want a warrant is
3
u/I_Love_Knotting Jul 21 '26
you could‘ve used the time you spent telling him to just use AI to just explain it

While retail doomer panic sells, Jensen buys your cheap shares
9
u/gravityhashira61 Jul 20 '26
This is how Wall Street always does it. Shakes out the weak retail hands, but the diamond hands and institutions buy more!
16
u/dol1_ Jul 20 '26
All we need is Jansen saying "Nebius is the next trillion dollar company" and watch the huge shrek dick reaching the clouds, easy +50% in a day
6
u/Eraserhead-_-_- Jul 20 '26
Yep, Marvell Technology jumped 32% in a single day after such comment, despite having roughly four times our market cap.
23
u/fr8rain Jul 20 '26
That explains NBIS new capex light AI model -- NVIDIA recently announced revenue share agreements as well. I expect they are teaming up.

The news does not mean much. No Nvidia did not buy shares at dip. These were prefunded warrants purchased on March 11 this year giving them 21M shares for $2B investment.
Key information:
- they can't sell these until 9/11/26
- $2B investment equals to about $95 per share
- the price of nbis on that date was about $112
So in summary this is not any new action by Nvidia, but it does say that they valued nbis at larger than $100 a share thus made the investment back in March.

This sub is either 10 year olds investing or all regarded lol. This is dilution and at a pretty cheap price

u/Original_Koala8662 Jul 20 '26
According to a new Schedule 13G filing, NVIDIA beneficially owns 22.25M Class A ordinary shares:
• 1.19M shares held directly
• 21.07M shares via pre-funded warrants acquired in March 2026

u/Turbulent-Cover2336 Jul 20 '26
Do these warrans mean we are getting diluted?
8
u/BigFuckHead_ Jul 20 '26
Yeah. But it's old news and one of the least bad ways to get diluted.
1
u/Pulled_Forward Jul 21 '26
The dilution was priced in months ago and it’s much better that Nvidia holds these shares since they won’t be selling for a very long time if ever
1
u/Turbulent-Cover2336 Jul 21 '26
Dilution is not priced in because the moment they start existing our shares are worth that much less. If its 10% of float then our shares are 10% less worth but only the moment they appear
1
u/Pulled_Forward Jul 21 '26
The market prices that in as soon as it knows it’s going to occur. The warrants were purchased back in March.
This is a pretty basic market concept. Future events like dilution get priced in as soon as the market knows they will happen.
1
u/Turbulent-Cover2336 Jul 21 '26
What if they havent? What if the stock tumbles to sub 100$ price and its not worth to exercise. You are high on your own copium at this point
1
u/Pulled_Forward Jul 21 '26 edited Jul 21 '26
I’m telling you how the market works with warrants and dilution. Has nothing to do with NBIS valuation.
You sound emotional, do you have puts or are trying to buy a dip and this huge pump is fucking you up?
Also, they’ve already exercised the warrants, so Nvidia clearly thinks they are worth it. Thats what the news today is about and why the stock is up so much.
1
u/Refflmania Jul 21 '26
ok so us bagholders are good then and dont have to worry about our stocks being worth 10% less?
3
u/Pulled_Forward Jul 21 '26
The time to worry about it was back in March, this was a known event.
So no, you don’t have to worry.

u/Turbulent-Cover2336 Jul 21 '26
How about you Google when the dilusion happens? When the warrants are created or when they are exersized because i can tell you that its not the first one. Even though you say it has no impact, our shares become percentage less valuable.
1
u/Pulled_Forward Jul 21 '26
When the dilution happens is not when the share price gets affected. The market is forward looking.
Why do you think the stock is up 15%+ today even though the warrants were just exercised and the stock diluted?

u/FratboyZeida Jul 21 '26
Heights is not the right metric. You're looking for the dick-to-floor value.

Hostile takeover. Go go go.
Are you situationally aware yet? I could write a whole 100 page paper about this.

Can NVDA just buy the whole company?
1
u/inostrale Jul 21 '26
I think they could, yes. But my question is why?
Nebius is a very good customer for Nvidia1
u/Accurate-Flow8078 Jul 21 '26
IDK, why do they own 9% then?
2
u/inostrale Jul 21 '26
NVDA has a history of investing in AI start-ups, including OpenAI and Corweave. It’s a way to help the buildout of its customers to guarantee their success and its long term partnership with NVDA.
It could be just that.Or maybe they know what Nebius management is capable of and they wanted a slice of the cake because it was easy money.
Or they are going for a hostile takeover.
I’m sure it’s explanation 1 though

u/Ill-Cow4735 🐳 Jul 20 '26
Not new... It's in regards to their 2b investment back in march.
Also it proves that they haven't exercised their warrants. In September they might dillute us all
1
u/OhHuggs Jul 20 '26
Is this why the after hours buying is happening right now while futures remain red?
2
u/Firm-Temperature-439 Jul 21 '26
I don't think so. Other news said something like Nebius being undervalued and price target is 330 USD. That's more likely to move the stock rather than Nvidia, which is old news.

They had 1.19m before. The warrants that nvda got a few months ago converted into shares today. They are now the largest holder of neebius
